Ownership
The Pearl package is owned wholly by T27 Systems Ltd. A Client pays a licence fee for access to the software over the internet. The source code is not available to the Client.
All data entered into by a Client into their Pearl interface is owned by the Client and will not be made available to any third party in any circumstance. All data will be surrendered to the Client and/or destroyed by T27 Systems at the Client’s request.
Employees of T27 Systems will have access to Clients’ information for purposes of technical support and product development only. Employees of T27 Systems are bound by a non-disclosure agreement whereby all Client information remains private to the Client.
Privacy
T27 Systems and the Pearl software package is bound by UK law and the Data Protection Act. Client personal information is held in a secure database and will not be released to third parties without prior permission from the Client. For more information please read our Privacy Policy.
Setup fee
A non refundable setup fee is payable to create a new account with Pearl. By requesting a new Pearl account and paying the setup fee, a Client is deemed to have tested and explored the freely available online demo, and considered it suitable for their use.
Subscription fee
Subscription fees will be charged on a monthly basis, on the 10th of each month (or first working day thereafter) for the previous month’s use. Invoices will be sent to the Client by email or post. Invoices must be paid within 30 days of invoice date. The total fee will depend on the number of active modules and the pricing level chosen. Modules can be added or removed at any time but will be billed in multiples of one month minimum. You will be charged a full month's fee for a module added on the 25th of the month, for example.
Extra fees
Any bandwidth used during a month in addition to the base level included with the subscription fee will be billed along with the subscription fee, and the total will be payable within 30 days. See the Pearl website at www.thisispearl.com for the latest prices.
Non payment, account suspension
If an invoice remains unpaid after the 30 days, service to Pearl admin will be suspended. Public access to any webshop(s) will also be suspended. Access to the Client FTP space will be blocked. All data will be kept on record for a further 60 days before being removed from our servers.
Re-instatement
Once a Client’s suspended account has been settled, T27 Systems Ltd will re-activate the account within 5 working days.

Payment terms
30 days from date of invoice
Contract terms
No binding contract will be signed, allowing a Client to cease usage of Pearl at any time. See Termination.
Termination
T27 Systems Ltd will terminate a client’s Pearl account if requested at any time. Any subscription fee payable for the month to date will be payable upon termination. Once terminated, T27 Systems Ltd will remove and destroy all Client data and information. This data WILL NOT BE RECOVERABLE. After termination it is the responsibility of the Client to maintain a copy of any data previously stored by T27 Systems Ltd as required by the Inland Revenue and HM Customs record-keeping regulations.
IP address security
It is the Client’s responsibility to maintain an up to date list of allowed IP addresses, if required. In the event that the client’s IP address changes, for whatever reason, and the Pearl system has not been notified access will be blocked to Pearl admin. T27 Systems Ltd will update the client IP address records a maximum of two times in any calendar month at no charge. Further IP address requests will be charged at £10 each. T27 Systems Ltd will require the Client to confirm their identity in order to change an access IP address.
Service Level Agreement
T27 Systems Ltd endeavours to provide 100% server uptime to provide 24/7 access to the Pearl administration interface and to any public websites.
Support
T27 Systems Ltd endeavours to reply in a timely manner to all enquiries; within 2 hours during UK office hours (9-5pm Mon to Fri). Telephone support during the above hours is also available for an extra fee; see www.thisispearl.com for the latest rates. Unless telephone support package fees are being paid all technical support enquiries must be made by email.
Client content
T27 Systems reserves the right to terminate a Client account should the Client contravene any UK laws regarding publicly available content.
Backups
T27 Systems Ltd takes a full daily backup of all client database information at 0900GMT and retains this information for 14 days. A daily incremental backup is taken of all client files (images and templates), and a full backup every Friday. Restoration of a backup due to client error will cost £20+VAT per backup request.
Software errors
Due to the nature of software there may be undiscovered anomalies in the system. Should this cause data loss T27 Systems is obliged to restore the latest backup to the Client’s system.
Business interruption
T27 Systems Ltd is not responsible for any loss of Client business due to an outage in the Client’s internet connection or Pearl server downtime lasting less than one hour. T27 Systems Ltd is not responsible for the Client’s connection to the internet. Access to Pearl relies on a reliable broadband internet connection.
